Microsoft and OpenAI have inked a non-binding memorandum of understanding (MOU) to further their collaboration, initiating a new phase in their AI partnership.
This agreement establishes the foundation for OpenAI’s transition to a for-profit model, supported by Microsoft’s ongoing financial and technological assistance.
The decision is made in conjunction with OpenAI’s endeavours to secure capital and modify its governance to accelerate its AI technology development and innovation.
Expanding the AI partnership framework
The two companies released a joint statement saying, “Microsoft and OpenAI have signed a non-binding memorandum of understanding (MOU) for the next phase of our partnership. We are actively working to finalise contractual terms in a definitive agreement”.
This collaboration follows Microsoft’s $1 billion investment in 2019 and another $10 billion in early 2023, emphasising its commitment to OpenAI’s success and technology leadership.
Microsoft has significantly relaxed its exclusive cloud-computing provision for OpenAI, allowing it to develop its data centre initiatives, including Stargate.
OpenAI has since obtained significant cloud contracts, such as a $300 billion deal with Oracle and a partnership with Google. This adaptability enables OpenAI to expand its computing capacity to satisfy the increasing demand for AI applications while preserving a robust collaboration with Microsoft.

OpenAI’s shift toward a for-profit entity aims to raise funds under a more conventional governance structure to support its advancing AI projects.
OpenAI Chairman Bret Taylor highlighted that the equity stake held by the existing nonprofit would exceed $100 billion, making it one of the wealthiest philanthropic organisations globally.
“This recapitalisation would enable us to raise the capital required to accomplish our mission—and ensure that as OpenAI’s public benefit corporation grows, so will the nonprofit’s resources, allowing historic levels of community impact,” Taylor said.
